About the Job opportunity
We’re looking for a Legal Manager with expertise in carbon finance, environmental law, and corporate legal affairs. You’ll support Varaha’s business operations by navigating complex legal frameworks in carbon markets, contract negotiations, and regulatory compliance.
Job Responsibilities:
- Review negotiate carbon credit purchase agreements, ERPAs, and related contracts.
- Advise on investment structuring, SPV planning, forward sales, revenue-sharing, and blended finance.
- Apply strong commercial judgment—understanding risks, IRR impacts, delivery schedules, price mechanisms, and termination rights.
- Manage external legal counsel and outsourced legal work.
- Ensure compliance with VCS, Gold Standard, CDM, ICVCM, and conduct legal risk assessments.
- Advise on Article 6 (Paris Agreement), national carbon laws, and carbon credit policies.
- Draft review contracts, NDAs, MOUs, service agreements aligned with sustainability goals.
- Support legal aspects of fundraising, corporate structure, IP, data privacy, and employment law.
- Maintain corporate governance and handle filings, statutory records, and regulatory liaison.
- Monitor updates in carbon, environmental, and corporate law.
- Assist in disputes, litigation, and arbitration as needed.
Eligibility & Qualifications
- LL.B. (Mandatory); LL.M. in Env./Business Law (Preferred)
- 3–5 years in a law firm or corporate legal team, with exposure to carbon finance
- Strong grasp of carbon markets, climate finance, and ESG regulations
- Experience in contracting, compliance, and corporate governance
- Analytical, research, and communication skills
- Ability to work independently and cross-functionally
