Role description

The Company Secretary at Haber will independently manage all company secretarial and compliance functions, acting as the legal representative for regulatory matters. Responsibilities include company incorporation, statutory filings, audit support, and staying current with regulatory changes. The role also involves advising management on corporate law, governance, strategic planning, and capital market regulations—serving as an in-house legal expert and compliance officer.

Key Responsibilities

  • Indian Compliance & Governance – Maintain statutory registers including the register of members and directors. Prepare and file statutory forms, returns, and annual filings with the Ministry of Corporate Affairs (MCA) in a timely manner. Draft board and general meeting notices, agendas, minutes, and resolutions. Manage share-related matters such as issuance, transfer, and authorized capital changes. Assist in the creation, modification, and satisfaction of charges. Ensure compliance with the Companies Act, 2013, FEMA, and other relevant regulations.
  • Liaison & Coordination – Coordinate with auditors, consultants, and regulators for corporate filings and statutory queries. Support in the preparation and dissemination of annual returns, financial statements, and other compliance reports.
  • International Compliance Support – Assist in coordinating with external legal advisors in UAE and Americas on:
  • Local company law and licensing requirements.
  • Statutory filings and renewals.
  • Basic documentation related to foreign investment and repatriation compliance. Help maintain a global compliance calendar for all jurisdictions.
  • Contract & Policy Support – Assist in drafting and reviewing NDAs, MOUs, and standard commercial agreements. Support in implementing policies and procedures aligned with corporate governance standards.

Qualifications

Qualified Company Secretary (ICSI).

Law degree preferred (LLB/LLM).

Experience & Skills

2–4 years of post-qualification experience in corporate secretarial or compliance roles.

Good understanding of Indian corporate, securities, and FEMA laws.

Familiarity with UAE commercial/company law and general regulatory framework.

Understanding of U.S. or American business laws is a strong advantage.

High attention to detail, organized, and able to manage multiple jurisdictions.

Strong drafting and documentation skills.

Ability to collaborate with external advisors and internal cross-functional teams.

Comfortable working in a fast-paced and evolving regulatory environment.

Immediate joiners or candidates with a 30-days (or less) notice period are highly preferred.
