About the Job
EazyDiner is hiring for the position of Legal and Compliance Officer in Gurugram.
Role and Responsibilities
- Drafting and Reviewing Agreements: Prepare, review, and negotiate contracts, agreements, and other legal documents to ensure the company’s interests are protected.
- Minutes of Meetings: Accurately record and prepare minutes of meetings for board meetings, general meetings, and other official gatherings.
- Compliance Management: Ensure timely and accurate filing of various ROC returns and forms on the MCA portal, including annual returns, financial statements, and other statutory documents.
- FLA Returns: Prepare and file Foreign Liabilities and Assets (FLA) returns in compliance with regulatory requirements.
- FCGPR Filings: Manage the filing of Form FC-GPR (Foreign Currency-Gross Provisional Return) related to foreign investments and ensure compliance with FEMA regulations.
- Corporate Governance: Assist in ensuring that the company complies with standard financial and legal practices and maintains standards of corporate governance.
- Legal Advisory: Provide legal advice and support to various departments within the company on commercial transactions, employment law, intellectual property, and other legal matters.
- Document Management: Maintain an organized system for legal documents, contracts, and records to ensure easy retrieval and compliance with data protection regulations.
- Liaison with Regulators: Coordinate with regulatory bodies and authorities to ensure compliance and address any issues related to filings and returns.
- Policy Development: Assist in the development and implementation of company policies and procedures to ensure legal and regulatory compliance.
- Handling Merger: Coordinate with Consulting firms for Merger related things
Eligibility Criteria
Educational Background:
- Graduate in Law (LLB) from a recognized university.
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Experience:
- A minimum of 3-5 years of relevant experience in a similar role.
- Prior experience in drafting agreements, preparing minutes of meetings, and handling ROC, FLA, and FCGPR filings.
Skills:
- Strong knowledge of corporate law, regulatory compliance, and secretarial practices.
- Excellent drafting, negotiation, and communication skills.
- Proficiency in using the MCA portal and other compliance-related software.
- High attention to detail and strong organizational skills.
- Ability to manage multiple tasks and meet deadlines.
