As an integrated part of the team, you proactively assess legal risks and advise on the same.

Job Responsibilities:

CORPORATE GOVERNANCE AND SECRETARIAL SERVICES: Independently handle the legal compliances under various statutes in India like Companies Act, FDI and ODI, compliances under FEMA, banking and insurance laws applicable to Fintech and other governance practices as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines Develop necessary compliance framework within the organization to effectively discharge the compliance obligations under rapidly changing regulatory ecosystem Coordinate with Corporate Secretaries outside India for regular compliances for overseas group entities; Contribute in finalization and execution of various documents in M&A transactions Active role in US SEC compliance for Nasdaq listed entity Contributes actively in ESOP implementation programs Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative Coordinate the board/general meetings and follow-up actions thereof Manage all tasks relating to Securities, their transfer and transmission Prepare and execute compliance related documents and act as the custodian of corporate records, statutory books and register and manage the Secretarial/Compliance Audit

CORPORATE LAWS ADVISORY AND REPRESENTATION SERVICES: Advise the organization on a day-to-day basis in matters related to legal compliance and procedural aspects under various corporate laws as may be applicable to the line of business, especially on matters related to compliance under banking and insurance laws, finance and accounting practices, taxation and information technology related requirements Responsible to represent the organization and other connected persons before various authorities and forums Assist, participate, partner with internal and external stakeholders in areas of Corporate Social Responsibility

Eligibility & Qualifications

CS with 8-10 years of relevant experience with reputed organization(s) Bachelor of Law from well recognized University (preferred) Experience in working with listed company is preferred.
Should have worked very closely with the Finance and Legal departments Should have experience in working with executive management (CEO, BU heads, HR, IT etc)
