About the Job Opportunity

A global financial services company, is looking to hire a mid-level legal professional to join their Bangalore office for Banking Products and Banking Transactions teams.

Job Responsibilities:

1.Principal Responsibilities (Banking Transaction)

Loan Execution & Advisory: Assist onshore Senior Transaction Manager in executing bilateral/multi-banked loans.

Draft/review term sheets and facility agreements for policy compliance.
Review and finalize minimum standard reports with external counsel.
Negotiate and settle transaction documents (release letters, reliance letters, legal opinions, fee letters, priority/subordination deeds, CP sat letters, etc.).
Identify and explain commercial and legal risks in complex loan transactions.
Draft lender counsel scope of work, fee indemnity letters, and internal dispensations.
Advise UK Commercial Banking clients by interpreting legal concepts and risks.
Ensure facility agreements and term sheets align with internal policies, credit approvals, market practices, and regulations.

2.Principal Responsibilities (Banking Products Team): The role will be responsible for the day to day operations and delivery of a new India-based branch of the Global Legal Services – Banking Products team and is responsible for managing the legal risk and execution of a suite of documents, which will increase over time as part of the broader offshoring strategy of the Global Legal Function.

Responsibilities: End to end credit and lending transaction support including negotiation support/legal drafting

Promote a strong sense of teamwork to ensure all areas work collaborative and as efficiently as possible
Technology / Workflow
Process Re-engineering
Ad-hoc projects within GBM Legal

Eligibility & Qualifications

Legal qualification with 5-8 years in banking/financial services; law firm experience preferred.
Expertise in drafting, reviewing, and negotiating loan documentation, security agreements, and ancillary lending documents (LMA templates preferred).
Strong understanding of credit and lending laws, regulations, and risk management.
Experience advising stakeholders on credit transactions and regulatory compliance. (for Banking Transaction)
Preferred (for Banking transaction): Exposure to cross-border lending, multi-jurisdictional regulatory compliance, and AML/KYC considerations.
