About the Job Opportunity
We are looking for a seasoned Legal Counsel with expertise in private equity, venture capital, and M&A transactions to lead legal strategy and execution across complex domestic and cross-border deals. The role involves drafting and negotiating key agreements, advising on corporate structuring and compliance, managing due diligence, and ensuring alignment with regulatory requirements. Ideal candidates will have experience working with startups and high-growth businesses, coupled with strong legal acumen and stakeholder management skills.
Job Responsibilities:
- Lead and manage legal aspects of private equity, venture capital, and M&A transactions, including structuring, documentation, and negotiation.
- Draft, review, and negotiate complex agreements such as Shareholders’ Agreements (SHA), Share Purchase Agreements (SPA), investment agreements, and other transaction documents.
- Provide legal advisory on corporate structuring, governance, and compliance under the Companies Act, LLP Act, Indian Partnership Act, and relevant international legal frameworks.
- Ensure legal compliance with FEMA regulations and advise on foreign investment structures, cross-border transactions, and fund flows.
- Support deal negotiations, term sheet discussions, and investor interactions from a legal standpoint.
- Collaborate with internal teams and external stakeholders to manage due diligence, regulatory filings, and transaction closures.
- Identify legal risks in commercial arrangements and provide risk mitigation strategies.
- Stay updated on legal and regulatory developments impacting corporate transactions, both domestic and international, and advise leadership accordingly.
- Provide legal support to the business on ongoing contracts, operational agreements, and other strategic initiatives.
- Ensure all legal documentation and processes are aligned with the company’s interests and regulatory requirements.
Eligibility & Qualifications:
- Minimum 3–5 years of experience as a corporate lawyer, with direct exposure to private equity, VC, and M&A transactions.
- In-depth knowledge of the Companies Act, LLP Act, Indian Partnership Act, FEMA laws, and applicable international legal frameworks.
- Strong expertise in contract drafting, SHA negotiation, deal structuring, and cross-border transaction management.
- Experience working with startups or advising high-growth companies is essential.
- Proven ability to manage negotiations and close complex domestic and international transactions independently.
- Excellent legal drafting, negotiation, and communication skills.
- Ability to handle multiple transactions and deliver under tight timelines.
- LLB from a recognized institution; an LLM or additional specialization in corporate or international law is preferred.
