Role description
Cineline Limited is seeking a qualified and dynamic Company Secretary with hands-on experience in a listed entity. The role involves ensuring full compliance with statutory and regulatory requirements, supporting the Board and management in governance matters, and maintaining transparency with regulators and shareholders.
Key Responsibilities
- Ensure compliance with Companies Act, SEBI (LODR) Regulations, and other applicable laws.
- Prepare and file statutory returns, forms, and disclosures with ROC, Stock Exchanges, SEBI, and other authorities.
- Organize and manage Board, Committee, and General Meetings — prepare agendas, notices, minutes, and related documentation.
- Liaise with stock exchanges, depositories, and regulators on corporate governance and disclosure matters.
- Handle insider trading compliance, maintenance of SDD, and monitoring of trading window.
- Draft and review annual reports, corporate governance reports, and directors’ reports.
- Assist in policy formulation, secretarial audits, and coordination with internal/external auditors.
- Maintain statutory registers, shareholding patterns, and ensure smooth shareholder communication.
- Support management in corporate restructuring, M&A, and related due diligence, if required.
Desired Candidate Profile
- Qualified Company Secretary with minimum 2+ years of post-qualification experience in a listed company.
- Sound understanding of Company Law, SEBI Regulations, and Listing Compliances.
- Excellent drafting, communication, and coordination skills.
- Proficient in handling MCA, BSE/NSE portals, and MS Office tools.
- Detail-oriented, proactive, and able to handle responsibilities independently.
