COURSE OVERVIEW

This course provides an in-depth study of Company Law and its various components, focusing on the Companies Act, 2013 and the legal aspects governing corporate entities in India. It covers the historical evolution of corporate law, the definition, characteristics, and classification of companies, including partnerships and LLPs, corporate personality, the process of incorporation, and legal requirements such as Memorandum and Articles of Association. Additionally, the course explores doctrines like the doctrine of indoor management, issues related to shares and debentures, the legal liabilities arising from misrepresentations in prospectuses, and the roles and responsibilities of company directors.

The course also dives into advanced topics such as amalgamation, winding up, corporate governance, and corporate social responsibility. Real-world legal applications through landmark case laws serve as a basis to help learners gain practical insights into corporate legal practice.

COURSE OBJECTIVES

  1. Understand the Fundamentals of Company Law: To equip learners with a solid foundation in the basic concepts, components, and principles governing Company Law and corporate entities under the Companies Act, 2013.
  2. Familiarize with Corporate Structures: Learn about the nature, types, and classifications of companies, including public, private, government companies, and LLPs, and the essential distinctions between these entities.
  3. Explore the Role and Liabilities of Promoters and Directors: Gain insight into the legal status of promoters, the procedures for incorporation, and the roles, duties, and liabilities of directors.
  4. Analyze Legal Doctrines and Company Formation: Study key legal doctrines related to the Memorandum and Articles of Association, including ultra viresindoor management, and the constructive notice doctrine.
  5. Examine Corporate Financing and Shares: Understand the different types of shares, capital, and debentures, the issuance of shares, and shareholder rights.
  6. Develop Expertise in Legal Framework for Company Operations: Study company governance principles, corporate criminal liability, and the significance of corporate social responsibility (CSR).

ABOUT THE SPEAKER

Ms. Divyanshi Shrivastava, is currently working as the assistant professor. She is a gold medalist and has pursued her academics from NLU Nagpur. She is currently pursuing her Phd from NLU Nagpur.

She is a UGC NET Qualified. She always had a remarkable academic record and has been one amongst the toppers of her batch. She is a keen researcher with strong experience of academia. She has developed dexterity in research and thus has authored various research papers in renowned journals of NLS Banglore, NLU Orissa, CUSAT Kochi, DSNLU, DNLU Jabalpur, Bar and Bench, Manupatra etc.

She has enormous internship experience of interning under leading firms like Fox Mandal, Kaden Borris and chambers of Geeta Luthra. She has also been research intern to Hon’ble Justice L. Nageswara Rao, Supreme Court of India. She has been constantly working to a stellar career in Law, with a zest of research and writing. She is also an avid speaker and has been adjudged as best speaker in various conferences, seminars at renowned institutions like GLC Mumbai, SLS Noida.
